Terms of Service
Effective November 8, 2026
These Terms govern use of ScaleIQ (the "Service"), provided by Z Innovative Marketing LLC ("we", "us"). By creating an account, accepting an invitation or using the Service, you agree to these Terms. If you use the Service for a business (the "Customer"), you confirm you may bind it to these Terms.
1. The Service
ScaleIQ helps businesses respond to leads quickly and manage sales teams: lead routing, calling and texting, call tracking and recording, appointments, leaderboards, coaching, reports, landing pages and integrations. Features may change as we improve the Service.
2. Accounts
- Customers control who in their organization has access and what role they hold. Each User needs their own login; do not share accounts.
- Keep your password and two-step login secure and tell us right away about any unauthorized use.
- You are responsible for activity in your organization's accounts.
3. Calling, texting and recording compliance
The Customer is solely responsible for how it contacts people through the Service, including compliance with:
- the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, and state telemarketing and "mini-TCPA" laws;
- obtaining and keeping proof of any consent required before calling or texting, and honoring opt-outs and do-not-call requests;
- carrier rules for business texting, including registering its brand and campaigns (A2P 10DLC) where required;
- call recording and notice laws, including all-party consent states;
- privacy laws that apply to its leads' information.
The Service includes tools to help (consent capture, STOP handling, quiet hours, a do-not-contact list and recording notices), but they do not replace the Customer's own legal obligations. We may suspend messaging or calling that we reasonably believe violates law or carrier rules.
4. Fees, phone usage and billing
- Subscription fees are charged per location per month in advance, as shown at checkout or in your order. Adding or removing locations changes the fee, prorated.
- Phone numbers, call minutes, text messages and related carrier and registration fees are billed based on usage at our then-current rates, in arrears, in addition to subscription fees.
- Payments are processed by Stripe. Fees are non-refundable except where required by law. Taxes are extra.
- If payment fails, we may suspend the Service after notice until the balance is paid.
5. Acceptable use
You will not use the Service to:
- send spam, unsolicited messages or calls without required consent, or content that is illegal, deceptive, harassing or infringing;
- contact numbers on do-not-call lists without a lawful basis, or ignore opt-outs;
- access another organization's data, probe or break security, overload the Service, or reverse engineer it;
- resell the Service without our written permission.
6. Your data
The Customer owns its Customer Data and grants us the rights needed to host and process it to provide the Service, as described in our Privacy Policy. The Customer can export its data from the Service. AI features (such as call summaries and scores) are aids and may be inaccurate; review them before relying on them.
7. Third-party services
The Service works with providers such as Twilio, Google, Stripe and CRMs. Their terms apply to your use of them, and we are not responsible for their availability or actions.
8. Termination
You may cancel at any time; the subscription ends at the close of the current billing period, and usage incurred is still due. We may suspend or terminate accounts that breach these Terms. After termination we delete Customer Data as described in the Privacy Policy.
9. Disclaimers
The Service is provided "as is" and "as available". To the extent allowed by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that calls or messages will be delivered, or any sales results.
10. Limitation of liability
To the extent allowed by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data. Our total liability for any claim is limited to the fees the Customer paid us in the 12 months before the claim.
11. Indemnity
The Customer will defend and indemnify Z Innovative Marketing LLC against claims arising from its Customer Data, its calls and messages (including TCPA and similar claims), or its breach of these Terms or the law.
12. General
These Terms are governed by the laws of the state in which Z Innovative Marketing LLC is organized, without regard to conflict-of-law rules. We may update these Terms by posting the new version and, for significant changes, notifying Customers; continued use means acceptance. If any part is unenforceable, the rest remains in effect.
